If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
GrowDirect's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. A waiver of any term shall not be deemed a continuing waiver of such term or any other term.
You may not assign or transfer these Terms or any rights granted hereunder without GrowDirect's prior written consent. GrowDirect may freely assign these Terms without restriction. Any attempted assignment in violation of this provision is void.
GrowDirect shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, accidents, strikes, or fuel crises.
The following provisions shall survive termination or expiration of these Terms: Intellectual Property Rights, Indemnification, Disclaimer of Warranties, Limitation of Liability, Governing Law, and any other provision that by its nature should survive.
